What materials may be inspected in an action for inspection rights, and may a specific time period be limited?
A shareholder of a limited liability company may: 1. Inspect and copy: the articles of association, the register of shareholders, the minutes and resolutions of shareholders’, board of directors’, and board of supervisors’ meetings, and the financial accounting reports; 2. Inspect (but not copy): the company’s accounting books and accounting vouchers (a written request stating the purpose must first be made). A shareholder of a company limited by shares may inspect the accounting books and accounting vouchers only if it has held, alone or aggregately, more than 3% of the shares continuously for over 180 days (the articles may provide for a lower but not a higher threshold). A request may specify a particular period (e.g., a given three-year span), and the court will set out in its judgment the time, place, and catalogue of materials for inspection.
